We refer to the announcement dated 2 May 2008 whereby it was announced that the Securities Commission (“SC”) had approved the Proposed Revised Regularisation Plan subject to, inter-alia, the condition that nominees of IJM Corporation Berhad (“IJM”) on the Board of Talam to be appointed as Executive Directors of Talam.
On behalf of Talam, RHB Investment Bank Berhad wishes to announce that the SC had, vide its letter dated 20 August 2008, in response to an application made by Talam, approved a variation to the said condition and allow only one nominee of IJM on Talam’s Board to be appointed as Executive Director of Talam. The SC’s approval is subject to the following conditions:-
(i) The Chairman of Talam’s Executive Committee must be an IJM nominee who is also an Executive Director of Talam; and
(ii) The number of Executive Directors who are Tan Sri Dato’ (Dr) Ir Chan Ah Chye @ Chan Chong Yoon’s nominees on the Board of Talam must not be more than the number of Executive Directors who are IJM’s nominees.
